Terms & Conditions
Last updated: October 2026
These Terms and Conditions govern the relationship between Mission: Purple Limited ("Mission: Purple", "we", "us") and clients who engage our services ("you"). By booking a service or signing a written agreement with us, you agree to these terms.
Part A applies to all of our services, and sets out how engagements that run over a period of time work. Part B covers the Visibility Session, Part C covers engagements for founders and MDs, and Part D covers Operational Advisory. Where a service-specific part differs from Part A, the service-specific part applies. Where an Agreement differs from these terms, the Agreement applies.
Part A: General terms
A1. About us
Mission: Purple Limited is registered in England and Wales (company number 17106665). Registered address: 122 Abingdon Road, Drayton, Abingdon OX14 4HT. Email: kate.bridge@missionpurple.co.uk. Phone: +44 (0) 7813 356032.
A2. Definitions
In these terms, the following have the meaning set out in your Agreement:
- Agreement: the written agreement for a service, signed by you and us.
- Start Date: the date the engagement starts.
- Initial Fee: any one-off fee payable at the start of the engagement.
- Fees: the fees payable for each Billing Period.
- Billing Period: the period for which Fees are invoiced.
- Payment Terms: the number of days within which invoices must be paid.
- Initial Term: the minimum period the engagement runs for.
- Notice Period: the notice either party must give to end the engagement.
- Additional Time Rates: the fees for agreed work outside the scope of the service.
A3. Booking and agreement
A booking is confirmed when we have confirmed it in writing by email. The Visibility Session is secured by payment. All other services begin once an Agreement has been signed. By signing an Agreement, you confirm that you have read and agree to these terms.
A4. Fees, invoicing and payment
Any Initial Fee is invoiced once the Agreement has been signed. Fees are invoiced as stated in the Agreement. Invoices are payable by bank transfer, in pounds sterling, within the Payment Terms set out in the Agreement.
Mission: Purple is not currently registered for VAT, so no VAT is charged. If we register, we will tell you in advance, and VAT will be added to invoices issued after registration.
If an invoice is unpaid when due, we may pause the service until it is paid and may charge interest under the Late Payment of Commercial Debts (Interest) Act 1998.
A5. Term
An engagement starts on the Start Date and runs for at least the Initial Term. After the Initial Term, it continues one Billing Period at a time until either of us ends it under clause A6.
A6. Notice
Either of us may end an engagement by giving written notice (email is sufficient) of at least the Notice Period. Notice cannot end an engagement before the end of the Initial Term. Fees for the Notice Period are payable in full, whether or not work or sessions take place, unless we both agree otherwise in writing.
We will review the engagement together before the last date on which notice could be given to end it at the end of the Initial Term.
A7. Ending for breach
Either of us may end an engagement immediately by written notice if the other commits a material breach and does not remedy it within 14 days of being asked to in writing. Non-payment of an invoice is a material breach.
A8. When an engagement ends
You will pay for work delivered and Fees due up to the end of the engagement. If we cannot deliver the service, or the engagement ends because of our breach, we will refund, pro rata, any Fees you have paid for work not yet delivered.
A9. Delivery and scope
We will provide our services with reasonable skill and care. The scope of each service is as described in the Agreement and on our website. Work outside that scope is only carried out once agreed in writing, at the Additional Time Rates, and is invoiced with the next Billing Period. Timelines and outcomes may be affected by factors outside our control, including the timely provision of information, access and decisions by you.
A10. Personal delivery
Our services are delivered personally by Kate Bridge, unless the Agreement says otherwise. If Kate Bridge is unavailable for more than two weeks, we will tell you promptly and agree with you how to proceed, which may include pausing the service and the Fees for that period.
A11. Confidentiality
Each of us will keep confidential any information about the other's business shared in the course of our work, and will use it only to provide or receive the service. This does not apply to information that is already public, or that must be disclosed by law. This clause continues after the engagement ends.
A12. Case studies and references
With your prior written agreement, we may name you as a client and publish a case study or testimonial about our work together. You will approve the content before it is published.
A13. Intellectual property
Your information and documents remain yours. Our frameworks, tools, templates, methods and materials remain ours. Once paid for in full, you may use any written outputs created for your business for your own business purposes, including sharing them with your advisers and suppliers.
A14. Recording, transcripts and tools
Sessions are held on Microsoft Teams and may be recorded and transcribed. By booking or signing, you agree to this, and either of us may ask for any session not to be recorded. Recordings and transcripts are used only to provide the service and are treated as confidential. We may use secure third-party tools, including AI tools, to store, organise and analyse session content and other information you share, solely to provide the service. You will make sure anyone from your business who joins a session knows it may be recorded.
A15. Data protection
We will comply with the UK GDPR and the Data Protection Act 2018. Our Privacy Policy explains how we handle personal data.
A16. Liability
Our services provide operational advice. You are responsible for your own decisions and for how you act on our advice. We do not warrant or guarantee that our advice will achieve any particular business outcome, as results depend on many factors outside our control, including implementation by you.
- We are not liable for any indirect or consequential loss, or for loss of profit, revenue or business.
- Our total liability for any engagement is limited to the fees paid for it. For engagements invoiced by Billing Period, it is limited to the Fees paid in the three months before the claim arose.
- Nothing in these terms limits liability that cannot be limited by law.
A17. Our relationship
We provide our services as an independent business. Nothing in these terms creates an employment relationship, partnership or agency between us.
A18. Changes to these terms
We may update these terms from time to time. Each version is numbered and dated, and the current version is always published on this page. Each engagement is governed by the version in place when it was booked or agreed, and previous versions are available on request.
A19. Governing law
These terms are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
Part B: The Visibility Session
B1. The session
The Visibility Session is a 60-minute session looking at what your operation can currently see, what it can't, and what the gap is costing you.
B2. Payment
Payment is due when you book, and before the session takes place.
B3. Cancellation and rescheduling
- If you cancel 7 or more days before the session, you will receive a full refund.
- If you cancel with less than 7 days' notice, the fee is non-refundable.
- You may reschedule at no charge with at least 7 days' notice. Rescheduling with less notice is subject to availability and may incur a rescheduling fee.
- If we need to cancel, we will offer a full refund or an alternative date, at your choice.
Part C: Engagements for founders and MDs
C1. The stages
The Operating Model, the Roadmap, the Build and Strategic Advisory are separate stages. Each has a defined output and a natural end point, and you decide how far to go.
C2. Agreements
Each stage is set out in its own Agreement, covering its scope, fees and timings. Unless the Agreement says otherwise, the Notice Period for these engagements is two weeks.
Part D: Operational Advisory
D1. The service
Operational Advisory starts with a 90-minute Onboarding Session, followed by a short written summary of the agreed focus areas. It then runs in Advisory Months, which are the Billing Period. Each Advisory Month is four sessions, normally held weekly: one 90-minute anchor session and three 45-minute stand-ups, with email access throughout and a response within 48 hours (excluding weekends and UK bank holidays).
D2. How Advisory Months flex
Each Advisory Month begins with its anchor session and ends when its four sessions have taken place or lapsed. Where leave, public holidays or the Christmas and New Year period fall within an Advisory Month, it extends to fit, so sessions are moved rather than lost, up to six weeks from its anchor session (longer if the delay is ours). Each of us will give as much notice of planned leave as we reasonably can. We may agree in writing to pause the service for a longer break, during which no Fees are charged.
D3. Scope
Operational Advisory is advisory. You and your team remain responsible for doing the work, making decisions and implementing them, including decisions on tools, systems and suppliers. Sessions are held with your named lead, and one additional colleague may join the anchor session by agreement. Email access covers questions that can be answered in a short written reply. Anything else, such as further attendees, other meetings, reviewing documents or recordings, research or written work, is charged at the Additional Time Rates under clause A9.
D4. Rescheduling
Either of us may reschedule a session with at least 48 hours' notice. A session you cancel with less notice, or do not attend, lapses and is not refunded. A session we cancel will be rearranged within the same Advisory Month.
D5. Notice timing
Because Advisory Months flex, notice is measured against anchor sessions. Notice given before the anchor session of an Advisory Month ends the engagement at the end of that Advisory Month, subject to the Initial Term.
